These Terms & Conditions ("Terms") govern your access to and use of the WALOO website at https://waloo.co and its subdomains (the "Website"). The Website is operated by WALOO Digital LLC, a Wyoming limited liability company with its principal business address at 5830 East 2nd St. PMB 93789, Casper, WY 82609, United States ("WALOO", "we", "us", or "our").
Please read these Terms carefully. By accessing or using the Website, you agree to be bound by them. If you do not agree, do not use the Website.
Important distinction: Website terms vs. client engagements
These Terms govern the Website only. They do not replace a signed proposal, statement of work, master services agreement, or other contract that governs paid professional services. If you become a WALOO client, the terms of your engagement control the services we deliver, fees, deliverables, intellectual property, confidentiality, and project-specific obligations.
What the Website provides
The Website is an informational and commercial presence for WALOO's WordPress engineering, design, performance, and related professional services. It may include service descriptions, case studies, articles, contact forms, scheduling tools, and links to third-party resources. Content on the Website is provided for general information and does not constitute legal, technical, or business advice tailored to your situation.
Permitted use
You may use the Website for lawful business and personal purposes related to evaluating or contacting WALOO. You agree not to:
- Use the Website in any way that violates applicable law or regulation
- Attempt to gain unauthorized access to our systems, accounts, or data
- Interfere with or disrupt the Website, servers, or networks connected to it
- Scrape, crawl, harvest, or automate access to the Website except through publicly supported interfaces and only where permitted by law
- Introduce malware, harmful code, or excessive automated traffic
- Misrepresent your identity or affiliation when contacting us
- Copy, frame, mirror, or resell Website content except as allowed below
Intellectual property
The Website and its content — including text, visuals, logos, layouts, code, videos, and design elements — are owned by WALOO or our licensors and are protected by intellectual property laws. WALOO grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Website for its intended purpose.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit Website content without our prior written consent, except where fair use or other non-waivable rights apply. Client work shown on the Website remains subject to the rights of the respective clients and any applicable agreements.
Submissions and enquiries
When you submit information through our contact form, email, scheduling tools, or other channels, you represent that the information is accurate to the best of your knowledge and that you have the right to share it with us.
Unless otherwise agreed in writing, information you submit for the purpose of evaluating or discussing a project may be used by WALOO to respond to your enquiry and operate our business. Do not submit confidential, proprietary, or sensitive information through the Website unless you are comfortable doing so without a separate non-disclosure agreement in place. If you need to share credentials, production data, or restricted materials, we will provide a secure process as part of an engagement.
Any unsolicited ideas, suggestions, or feedback you provide may be used by WALOO without restriction or compensation, except where prohibited by law.
Third-party services and links
The Website may include links to third-party websites, tools, or embedded services — including scheduling providers such as Calendly and social networks such as LinkedIn or Facebook. Those services are operated by third parties under their own terms and privacy policies. WALOO is not responsible for third-party content, availability, or practices.
No professional-client relationship from browsing alone
Visiting the Website, submitting an enquiry, or scheduling an introductory call does not by itself create a client relationship or obligation for WALOO to perform work. A engagement begins only when both parties agree in writing to scope, fees, and terms.
Disclaimers
The Website and all content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, WALOO disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing:
- We do not warrant that the Website will be uninterrupted, secure, or error-free
- Performance metrics, case study results, or examples are illustrative and may not reflect outcomes for your project
- Information on the Website may change without notice
- Nothing on the Website is a guarantee of search rankings, revenue, uptime, or other business results
Limitation of liability
To the fullest extent permitted by law, WALOO and its members, managers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity arising out of or related to your use of the Website, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, WALOO's total liability for any claim arising out of or relating to the Website or these Terms will not exceed one hundred U.S. dollars (USD $100) or the amount you paid WALOO specifically for Website-related services in the twelve (12) months before the event giving rise to the claim, whichever is greater.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Indemnification
You agree to defend, indemnify, and hold harmless WALOO and its members, managers, employees, contractors, and affiliates from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Website, violation of these Terms, or violation of any third-party right.
Governing law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Subject to the dispute resolution section below, the state and federal courts located in Wyoming shall have exclusive jurisdiction over disputes that are not subject to arbitration.
Dispute resolution
Most concerns can be resolved informally. Before initiating formal proceedings, please contact us at contact@waloo.co with a brief description of the issue. We will try to resolve it in good faith within sixty (60) days.
If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Website shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in court to protect intellectual property or confidential information. Arbitration will take place in Wyoming unless the parties agree otherwise. The arbitrator's award may be entered in any court of competent jurisdiction.
Class action waiver. To the extent permitted by law, disputes must be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date on this page. Material changes may be highlighted on the Website. Your continued use of the Website after changes become effective constitutes acceptance of the revised Terms.
Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Entire agreement for Website use
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and WALOO regarding use of the Website and supersede prior understandings on that subject.
